These Terms of Use (“Terms”) govern your access to and use of Oxinion Finance, including our website at finance.oxinion.com, our mobile app, our APIs and MCP server, and any related services (together, the “Service”), operated by Oxinion (“we”, “us”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Not investment advice

The Service is provided for informational and educational purposes only. Nothing on the Service — including data, scores, signals, ratings, analyses, agent outputs, or suggested amounts — constitutes investment, financial, legal, tax, or other professional advice, an offer or solicitation to buy or sell any security, or a recommendation that any security or strategy is suitable for you.

We are not a broker-dealer, investment adviser, or financial planner, and no fiduciary or advisory relationship is created by your use of the Service. You are solely responsible for your own investment decisions and should consult a licensed professional before acting. Investing involves risk, including possible loss of principal; past performance does not guarantee future results.

2. No order execution by Oxinion

The Service is advisory-only. Agents and tools may propose or simulate actions and suggest position sizes, but Oxinion does not execute trades or hold customer funds or securities. Any order is placed by you, or — only if you explicitly connect and authorize a third-party broker — through that broker under its own terms. You are responsible for reviewing and approving any action before it is taken.

3. Data accuracy and sources

The Service aggregates data from public and third-party sources (including U.S. SEC filings and market-data providers) and derives metrics from them. We strive for accuracy but do not warrant that any data, calculation, or output is accurate, complete, current, or error-free, and it may be delayed. You should independently verify any information before relying on it. SEC data is sourced from public filings; where provided, source citations are offered as a convenience and are not a guarantee of correctness.

4. Eligibility and accounts

You must be able to form a binding contract and meet any minimum age required by your jurisdiction to use account features. You are responsible for the activity under your account and for keeping your credentials secure. Identity is shared across Oxinion apps through a single sign-on. Notify us promptly of any unauthorized use.

5. Acceptable use

You agree not to:

  • use the Service in violation of any law, regulation, or third-party right, or for any unlawful or manipulative market activity;
  • scrape, harvest, or bulk-download data except through interfaces we provide and within any published rate limits;
  • resell, redistribute, or sublicense the Service or its data except as expressly permitted by a separate written agreement (e.g. an API plan);
  • interfere with, overload, or attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • reverse engineer or misuse the Service, or remove any proprietary notices.

6. Third-party services

The Service may let you connect third parties (for example a brokerage such as Alpaca or Toss, payment processing by Stripe, or messaging via Telegram). Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, availability, or data. Connecting a broker and authorizing any activity is at your own risk.

7. Paid plans and billing

Some features require a paid plan. Fees, billing cycles, and any API usage limits are described at the point of purchase and are processed by Stripe. Unless stated otherwise or required by law, fees are non-refundable. We may change pricing prospectively with notice.

8. Intellectual property

The Service, including its software, design, and original content, is owned by Oxinion and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use (or as permitted by a paid plan). Public source data (such as SEC filings) is not owned by us. You retain ownership of content you submit, and grant us a license to host and process it to operate the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OXINION AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD 100.

11. Indemnification

You agree to indemnify and hold harmless Oxinion and its affiliates from any claims, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or any law or third-party right.

12. Termination

You may stop using the Service at any time and delete your account (see our Privacy Policy for how). We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Sections that by their nature should survive termination (e.g. disclaimers, limitation of liability, indemnification) will survive.

13. Changes to the Service and these Terms

We may modify or discontinue features at any time. We may also update these Terms; material changes will be reflected by updating the “Last updated” date above and, where appropriate, by additional notice. Your continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Oxinion is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction, except where applicable law provides otherwise.
